MIDDLETON PRINTING INC.

Terms and Conditions of Sale of Goods and Services

1. Scope; controlling documents

These Terms govern all sales of Goods and Services by Middleton Printing Inc. ("Seller") to the customer identified in Seller’s sales order acknowledgment ("Buyer") of labels, printed products, packaging and other goods ("Goods"), and artwork, prepress, printing, converting, finishing and related services ("Services"). Buyer includes businesses, organizations and individual consumers. A "Consumer Buyer" is an individual purchasing primarily for personal, family or household purposes. These Terms apply to retail and wholesale sales, custom and stock products, and orders placed online, by telephone, by email, by mail or in person. "Sales order acknowledgment" includes Seller’s written order confirmation or accepted checkout order summary. The "Order" consists of that acknowledgment, these Terms, and its incorporated quotation, specifications and final proofs. Section 21 controls where Consumer Buyer or consumer-product protections apply; no Order document overrides rights that cannot lawfully be waived.

A separate agreement signed by both parties governing the transaction controls to the extent of an actual conflict. Otherwise, the following order of priority applies: (a) a written amendment signed by both parties; (b) Seller’s sales order acknowledgment, including expressly accepted special terms; (c) these Terms; and (d) Seller’s incorporated quotation. Final approved proofs control artwork and other characteristics they expressly depict, but do not change price, payment, delivery, warranties or other legal terms. A separately signed confidentiality agreement remains effective.

SELLER’S ACCEPTANCE OF ANY BUYER OFFER OR PURCHASE ORDER IS EXPRESSLY CONDITIONAL ON BUYER’S ASSENT TO THESE TERMS. SELLER OBJECTS TO AND REJECTS ALL ADDITIONAL OR DIFFERENT BUYER TERMS, INCLUDING TERMS IN PURCHASE ORDERS, PORTALS, VENDOR MANUALS OR OTHER DOCUMENTS. SELLER’S PERFORMANCE, SHIPMENT, INVOICING OR REFERENCE TO A BUYER PURCHASE ORDER NUMBER DOES NOT CONSTITUTE ASSENT TO THOSE TERMS. NO BUYER TERM BINDS SELLER UNLESS EXPRESSLY ACCEPTED IN A WRITING SIGNED BY SELLER’S AUTHORIZED REPRESENTATIVE.

2. Quotations; order acceptance

Quotations are valid for 30 days from their date, subject to Section 3, and are invitations to place an order rather than binding offers. Orders are subject to Seller’s written sales order acknowledgment and, where credit is requested, credit approval. Seller shall make these Terms and applicable warranty information available before purchase. Buyer may accept through a signature, email or affirmative electronic checkout acceptance. A receipt or invoice first supplied after purchase does not by itself add terms to that sale. Where Buyer’s order contains conflicting terms, Seller’s acknowledgment is a counteroffer on the terms stated in Section 1. Buyer shall expressly accept the acknowledgment and these Terms before custom production or fulfillment begins; an accepted checkout order summary may satisfy this requirement. An automated receipt of Buyer’s purchase order is not Seller’s acceptance.

Buyer shall check the acknowledgment promptly for item numbers, quantities, specifications, pricing, shipping instructions and other requirements and identify discrepancies before authorizing production. A requested delivery date, specification or other requirement in Buyer’s purchase order is binding only if expressly accepted in Seller’s acknowledgment. Forecasts and blanket purchase orders do not reserve capacity or obligate Seller to supply unaccepted releases.

3. Prices; raw material changes; additional charges

Prices are based on the quantities, specifications, material costs and production assumptions stated in Seller’s quotation. Unless expressly included, prices exclude freight, insurance, sales and use taxes, duties, tariffs, special packaging, warehousing, expedited work and additional services requested by Buyer. Buyer shall provide any valid tax exemption certificate before invoicing. For Consumer Buyers, Seller shall disclose the total price, applicable taxes, shipping and other mandatory charges, or a clearly stated calculation where permitted by law, before Buyer commits to purchase.

The 30-day quotation period does not protect against raw material cost increases or supply delays beyond Seller’s reasonable control. Before order acceptance, Seller may revise the quotation on written notice. After acceptance, Seller may propose a documented adjustment for an increase beyond its reasonable control in the cost of materials not yet purchased or irrevocably committed, or for new duties or tariffs affecting the Order. Seller shall give written notice before incurring the increased cost. Buyer may accept the adjustment or cancel the affected unperformed portion within five business days, subject to Section 12. Silence is not acceptance of a price increase. Seller may suspend affected work pending resolution and revise estimated dates accordingly, subject to Section 9. For a Consumer Buyer who declines a Seller-requested price increase, Seller shall either perform at the agreed price or cancel the affected unperformed portion and promptly refund payments for that portion without a cancellation charge. This does not apply to additional work requested by Buyer and separately accepted.

Changes in quantity, specifications, artwork, material, delivery instructions or scope require a written price and schedule adjustment accepted by both parties. Additional artwork, file repair, testing or other work outside the quoted scope requires Buyer’s written authorization. Correcting Seller’s own failure to meet agreed specifications does not create an additional charge.

4. Quantity allowances; overruns and underruns

Unless Seller expressly accepts an exact quantity or different allowance in its sales order acknowledgment, the following production allowances apply separately to each label item, SKU or artwork version in each production run. Quantities for different items or releases are not combined to determine the allowance.

Ordered label quantity per item / run

Permitted overrun or underrun

1–5,000

±15%

5,001–49,999

±10%

50,000 and above

±7%

Allowed minimum quantities are rounded up to the next whole unit and maximum quantities down to the next whole unit. Buyer shall accept and pay for the actual conforming quantity delivered within the applicable allowance, at the acknowledged unit price. Fixed setup and other non-unit charges remain payable. An underrun within the allowance completes the quantity obligation; Seller is not required to make a supplemental run. These allowances do not permit defective Goods or waive agreed specifications.

Exact quantities must be requested and accepted in writing before production and may require added charges. For printed products other than labels, quantity allowances must be stated in the quotation or acknowledgment; the label allowances do not automatically apply. Quantities outside the applicable allowance require Buyer’s written acceptance. For Consumer Buyers, an allowance applies only if Seller separately discloses the permitted minimum and maximum quantities and corresponding total price range and Buyer affirmatively accepts them before production. Without that acceptance, the stated quantity and agreed total price control. Buyer is not obligated to pay for unsolicited excess Goods.

5. Buyer materials; intended use

Buyer shall timely supply complete, accurate, production-ready files, copy, specifications and instructions, including dimensions, stock, adhesive, finish, roll configuration, unwind direction, core size, maximum roll diameter, packaging and any barcode or variable-data requirements. Buyer is responsible for its text, claims, warnings, translations, trademarks, supplied data and regulatory content, and shall have all rights needed for Seller to use them to perform the Order.

Buyer shall disclose the intended application and relevant conditions, including application surface, temperature, moisture, chemicals, storage, equipment and expected life. Buyer is responsible for validating suitability under its actual conditions before production or use. Seller’s recommendations and samples do not guarantee a particular application unless Seller expressly accepts that performance requirement in writing. Seller remains responsible for compliance with laws applicable to its own manufacturing and Services. Buyer’s review, testing and approval obligations do not waive consumer warranties, rights based on Seller’s representations, or liability for Seller’s own errors or defects.

6. Proofs; approval to print

Buyer shall designate an authorized proof approver. Seller will submit a proof for new or changed artwork unless Buyer expressly waives a proof in writing. Production requires Buyer’s written approval of the identified final proof or written authorization to proceed without a proof. Silence is not proof approval. Approval by Buyer’s designated representative by email or an electronic approval system is effective.

Buyer must review all copy, spelling, numbers, layout, images, dimensions, dielines, colors, placement, barcodes, QR codes, variable data and other matters shown on the proof. Buyer’s approval authorizes reproduction of that proof and confirms its content. Seller is not responsible for errors contained in an approved proof or Buyer-supplied content. Approval does not excuse Seller’s failure to reproduce the approved proof within agreed tolerances or to meet other agreed production specifications.

Electronic and ordinary desktop-printed proofs establish content and layout; they do not establish an exact color, substrate, texture, coating, adhesive or finishing standard. Physical press proofs supplied by Seller for Buyer’s approval establish the approved color target for the identified digital process, substrate and finish, subject to Section 7. Buyer must identify color-critical requirements before production so Seller can supply a press proof or expressly accept an appropriate standard in writing. Barcode or QR-code grading, scan verification and variable-data validation are included only if expressly quoted and accepted. A readable code in an electronic proof is not a guarantee of performance in Buyer’s application.

Buyer changes after approval may require revised pricing, replacement plates, wasted-material charges, a revised proof and a new estimated schedule. Seller will obtain approval of a revised proof before producing changed artwork. If Buyer waives proofing, Buyer assumes the risk of errors that a proof would reasonably have revealed, but not unrelated production defects caused by Seller.

7. Digital printing; color targets; press proofs

Upon Buyer’s request before production, one physical press proof is included in the quoted price unless Seller’s quotation expressly states otherwise. Additional Buyer-requested press proofs or color adjustments are charged at $75 per adjustment or press proof. Charges for correction of Seller-caused nonconformities are excluded. One combined adjustment-and-proof event is not charged twice unless separately quoted and accepted.

Seller typically produces Goods digitally. Spot-color references, including Pantone or other named colors, identify intended color targets and do not by themselves require use of a separate spot-color ink. Unless Seller expressly commits otherwise in writing, Seller may reproduce those targets using digital process-color simulation. Buyer acknowledges that some spot colors cannot be reproduced exactly by the selected digital process, stock or finish.

Seller will use its best efforts, within the capabilities of the agreed digital process and materials, to achieve the requested color targets and to match any Seller-supplied physical press proof approved by Buyer. An approved press proof establishes a target, not a guarantee of an exact match. Reasonable color variation may occur between proof and production, within a run and between runs because of the process, substrate, coating, finish and viewing conditions. Screen displays, desktop prints, color guides, Buyer-supplied samples and prior jobs are reference targets unless Seller expressly accepts them as a binding standard in writing. Seller shall advise Buyer before production of a known material departure from the requested target and obtain approval through a supplied press proof or other written acceptance.

Any color standard, tolerance, matching requirement or production method that Seller expressly commits to in writing controls over these general color allowances. No exact spot-color or numerical color-difference guarantee is made unless expressly accepted by Seller in writing. Buyer shall review supplied press proofs before authorizing production. These provisions do not excuse an avoidable failure to use best efforts, a material departure from the approved target beyond reasonable digital printing variation, or failure to meet Seller’s written commitments. Seller will not substitute a materially different stock, adhesive or other specified material without Buyer’s written approval.

8. Setup charges; repeat orders; production property

Most initial setup charges apply to the first run only, as identified in the quotation. On an unchanged reorder, plate and artwork charges will not be repeated if existing production assets remain available and serviceable. Material changes, new versions, replacement of worn or obsolete tooling, recreation of unavailable assets and other additional work will be quoted for Buyer’s approval. Reorders remain subject to current pricing, minimum quantities, material availability and a new acknowledgment.

Buyer retains ownership of its supplied artwork, content and other intellectual property. Unless a signed agreement expressly provides otherwise, Seller retains ownership of its production files, working files, methods, plates, dies and other tooling; setup charges pay for preparation and use and do not transfer ownership. After payment, Buyer may use final artwork expressly purchased as a deliverable for the intended products, subject to third-party rights. Transfer of editable source files or ownership requires a separate written agreement. Seller has no indefinite storage obligation for production assets; any required retention period must be agreed in writing.

9. Estimated schedules; Buyer delays

All production, ship, delivery and performance dates are estimates unless Seller expressly agrees in a signed writing to a guaranteed date. Time is not of the essence unless that writing expressly states otherwise. Lead times begin only after order and credit approval, receipt of required deposits and usable materials, and final proof approval. Seller will use commercially reasonable efforts to meet estimates and notify Buyer of material delays.

Late approvals, changes, incomplete information, payment delays and material shortages may require rescheduling. Rush charges do not create a guaranteed ship or arrival date. Seller does not guarantee carrier transit times. Missing an estimated date alone does not authorize cancellation, chargebacks or penalties; cancellation remains subject to Section 12. This provision does not permit Seller to postpone performance indefinitely. For orders covered by the FTC Mail, Internet, or Telephone Order Merchandise Rule, Seller will have a reasonable basis for its stated shipment time or, if none is stated, shipment within 30 days after receipt of a properly completed order. If shipment cannot occur within the applicable time, Seller will provide the legally required delay notice and cancellation option, obtain any required consent to delay, and issue required prompt refunds. Describing a date as an estimate, awaiting approvals, a force majeure event or a custom-order restriction does not waive these obligations or any applicable statutory cancellation right.

10. Shipment; freight; title and risk

Unless otherwise expressly stated in Seller’s acknowledgment, shipments are FOB Seller’s facility, Grand Rapids, Michigan, under the Michigan Uniform Commercial Code. Seller will package Goods reasonably for the agreed transportation method. Title and risk of transit loss pass to Buyer when conforming Goods are duly delivered to the carrier at that point. Freight, insurance and accessorial charges are Buyer’s responsibility, even if Seller arranges transportation or prepays freight and adds it to the invoice. Buyer shall promptly document transit damage and pursue carrier claims; Seller will provide reasonable assistance. For Consumer Buyers, the FOB risk-transfer provision does not apply: risk of loss remains with Seller until Buyer or Buyer’s designated recipient takes physical possession, unless Buyer independently selects and contracts with a carrier not offered by Seller and applicable law permits earlier transfer. Seller shall handle carrier claims for loss occurring while Seller bears that risk. Consumer freight and accessorial charges require prior disclosure and acceptance.

Seller may make reasonable partial shipments and invoice each shipment unless otherwise agreed. If Buyer requests delayed shipment or fails to accept or collect completed Goods, Seller may invoice them when ready and charge reasonable, previously disclosed storage and handling costs. Risk of loss during Seller’s storage is governed by applicable law or a separate written storage agreement.

11. Payment; credit

Payment terms expressly stated in Seller’s acknowledgment control. Otherwise, approved credit accounts are payable net 30 days from invoice date; other accounts require prepayment. Payment is in U.S. dollars. Seller may require deposits or advance payment and may suspend unperformed work or shipment on written notice for overdue undisputed amounts or reasonable credit concerns, subject to applicable law.

Buyer shall identify invoice disputes promptly and pay undisputed amounts when due. Buyer may not impose deductions, administrative fees, chargebacks or offsets without Seller’s written agreement or a final determination establishing the amount due. Overdue undisputed amounts may accrue a late charge of 1.5% per month or the maximum lawful rate, whichever is lower. Buyer shall reimburse reasonable collection costs and attorneys’ fees to the extent permitted by law. Deposits will be credited against amounts due and are not automatically forfeited. The restrictions on chargebacks and offsets do not limit lawful card disputes, billing-error claims or other statutory remedies. For Consumer Buyers, no default late charge or contractual collection fee applies under these Terms; any such charge requires a separate lawful disclosure and agreement, and attorneys’ fees may be recovered only as permitted by applicable law or court order.

12. Changes; cancellations; holds

Accepted custom Orders may be changed, canceled or placed on hold only with Seller’s written agreement, except as expressly provided in these Terms or required by law. Seller shall reasonably mitigate avoidable costs. Buyer shall pay for conforming completed Goods at the Order price, Services already performed, reasonable work-in-process costs, noncancelable material and supplier commitments, and reasonable cancellation, storage and handling costs, less costs avoided and recoverable salvage value, without duplicate recovery.

Seller may invoice these amounts when cancellation is confirmed. Any unused deposit remaining after application to amounts properly due will be returned. Buyer-requested holds require an agreed duration; Seller may request revised pricing and schedules before restarting. Buyer is not responsible under this section for costs caused solely by Seller’s uncured material breach. No cancellation charge or deduction applies when Buyer exercises a statutory right requiring cancellation without penalty or a full refund. Consumer cancellation charges otherwise apply only if disclosed and accepted before purchase and lawful. Any voluntary return policy for stock Goods must be disclosed before purchase; its absence does not limit remedies for defective Goods or statutory rights.

13. Inspection; claims; returns

The ten-business-day and 90-day claim-notice limits and deemed-acceptance provisions in this section apply only to non-consumer transactions not covered by Section 21. Consumer claims are governed by Section 21 and applicable law. Buyer shall inspect Goods promptly upon receipt and before application, conversion or distribution. Buyer shall notify Seller in writing of visible defects, shipping quantity discrepancies outside the agreed allowance, or other reasonably discoverable nonconformities within ten business days after receipt. Latent defects must be reported within ten business days after discovery and no later than 90 days after receipt. Claims concerning Services must be reported within ten business days after discovery and no later than 90 days after completion. These are agreed claim-notice periods, subject to applicable law; they are not a contractual shortening of the statutory period for filing suit.

Notices must identify the Order, affected quantities, lot information and the defect, with reasonable supporting samples or photographs. Buyer shall preserve affected Goods, stop using Goods known to be defective and allow Seller a reasonable inspection and cure opportunity. Failure to give timely notice constitutes acceptance as to reasonably discoverable defects, subject to applicable law and timely latent-defect claims. Quantity allowances and permitted production variations are not defects.

No Goods may be returned, destroyed, reworked or charged back without Seller’s written authorization, except where reasonably necessary to prevent injury or comply with law. Custom Goods are not returnable for convenience. Seller shall pay reasonable authorized return and replacement freight for substantiated warranty claims; ordinary transit-damage claims are addressed under Section 10.

14. Commercial limited warranty; remedy

For transactions not covered by Section 21, Seller warrants that, at shipment, Goods will materially conform to the acknowledged specifications and approved final proof, subject to agreed allowances and tolerances, and will be free from material defects in Seller’s workmanship. Seller warrants that Services will be performed in a professional and workmanlike manner. Seller does not warrant Buyer-supplied designs, content or materials, or defects caused by improper storage, handling, application, alteration, misuse or conditions outside agreed specifications. These exclusions apply only to the extent they cause the claimed problem.

For a substantiated timely claim, Seller will, at its option and expense, repair or replace the affected Goods, reperform the affected Services, or credit or refund the price paid for the affected portion. If repair, replacement or reperformance cannot be completed within a commercially reasonable time, Seller will provide the applicable credit or refund. Subject to applicable law, these are Buyer’s sole and exclusive remedies for nonconforming Goods or Services.

FOR TRANSACTIONS NOT COVERED BY SECTION 21, AND EXCEPT AS EXPRESSLY PROVIDED IN THE ORDER, SELLER DISCLAIMS ALL OTHER WARRANTIES TO THE EXTENT PERMITTED BY LAW, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NOTHING IN THIS DISCLAIMER NEGATES AN EXPRESS WARRANTY THAT CANNOT LAWFULLY BE DISCLAIMED.

15. Commercial limitation of liability

FOR TRANSACTIONS NOT COVERED BY SECTION 21, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER IS NOT LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOST PROFITS, LOST BUSINESS, PRODUCTION DOWNTIME, CUSTOMER PENALTIES, PRODUCT RECALL EXPENSES, OR COSTS OF REMOVING OR REAPPLYING LABELS, ARISING FROM THE ORDER, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. SELLER’S TOTAL AGGREGATE LIABILITY ARISING FROM AN ORDER WILL NOT EXCEED THE TOTAL PRICE PAID OR PAYABLE FOR THAT ORDER.

These limitations do not apply to Seller’s fraud, gross negligence or willful misconduct, or any liability that cannot lawfully be excluded or limited. The exclusion of consequential damages is independent of the limited remedies in Section 14, to the extent permitted by law.

16. Buyer indemnity

This contractual indemnity applies only to non-consumer transactions. For those transactions, Buyer shall defend, indemnify and hold Seller harmless from third-party claims and reasonable resulting costs, including attorneys’ fees, to the extent arising from Buyer-supplied artwork, content, specifications or materials that infringe third-party rights or violate law, or from Buyer’s negligent use or misuse of Goods. This obligation does not apply to the extent a claim is caused by Seller’s breach, negligence or willful misconduct. Seller shall promptly notify Buyer, allow Buyer to control the defense with competent counsel and reasonably cooperate at Buyer’s expense. No settlement may impose an admission, nonmonetary obligation or unreimbursed liability on Seller without its written consent.

17. Confidentiality; subcontractors

Each party shall use reasonable care to protect the other’s nonpublic business, pricing, technical and customer information and use it only to perform or administer the Order. Disclosure is permitted to personnel, professional advisers and subcontractors who need it and are subject to appropriate confidentiality obligations, or as required by law. This obligation excludes information lawfully public, already known, independently developed or lawfully received without restriction. Seller may use qualified subcontractors to perform the Order and remains responsible for their contracted work. Neither party may use the other’s name, trademarks or confidential work in public marketing without prior written consent.

18. Events beyond reasonable control

Neither party is liable for delay or nonperformance to the extent caused by events beyond its reasonable control, including natural disasters, fire, war, government restrictions, widespread utility or transportation disruption, labor disruption or material supply interruption not reasonably avoidable. The affected party shall give prompt notice and use reasonable efforts to mitigate and resume performance. An ordinary cost increase alone is not a force majeure event; price adjustments are governed by Section 3. Payment for Goods and Services already supplied remains due, subject to applicable cancellation and refund rights.

If an event continues for more than 60 consecutive days, either party may terminate the affected unperformed portion on written notice. Buyer shall pay for conforming completed Goods, performed Services and reasonable noncancelable commitments incurred before termination, subject to mitigation and credit for recoverable value. Consumer Buyers shall not be charged for unperformed work or supplier commitments following Seller’s inability to fulfill the Order; required cancellation rights and refunds under Section 9 and applicable law control.

19. Default; suspension and termination

Either party may terminate the affected Order for the other’s material breach if it is not cured within ten business days after written notice describing the breach. Seller may suspend work or shipment under Section 11 while payment or credit concerns remain unresolved. Termination does not eliminate accrued payment obligations or other rights, subject to the remedies and limitations in these Terms. Any insolvency-related action is subject to applicable bankruptcy and other law.

20. Michigan law; disputes; general provisions

Michigan law governs, without its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For non-consumer transactions, the parties consent to exclusive jurisdiction and venue in the state courts in Kent County, Michigan, or the federal court for the Western District of Michigan having jurisdiction. For Consumer Buyers, Michigan law applies only to the extent it does not deprive Buyer of mandatory protections under otherwise applicable law, including the law of Buyer’s home jurisdiction. Consumer Buyers may bring claims in any court available under applicable law, including an eligible local small-claims court.

The Order is the entire agreement for its subject matter and replaces prior discussions and inconsistent terms, subject to Section 1. Amendments and waivers require a writing signed by authorized representatives; authenticated electronic signatures are acceptable. A waiver in one instance is not a continuing waiver. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Payment, intellectual property, confidentiality, indemnity, remedy limitations and dispute provisions survive completion or termination as appropriate. Updates to these Terms apply only to future Orders for which they are supplied and accepted; they do not retroactively change an accepted Order.

21. Consumer sales; consumer-product limited warranty

Priority and rights. These Terms cover consumers as well as commercial customers. This section governs sales to Consumer Buyers and any other transaction to which applicable consumer-product warranty law requires these protections. It overrides conflicting provisions elsewhere, including Sections 5, 6, 13, 14 and 15. Nothing in these Terms waives mandatory consumer rights, statutory remedies, required refunds, payment-dispute rights or protections against unfair or deceptive practices. Approval of a proof does not excuse Seller’s failure to perform as agreed.

Limited warranty — coverage and duration. Middleton Printing Inc., 200–32nd St. SE, Grand Rapids, MI 49548, provides this limited warranty to the original purchaser and anyone entitled to enforce it under applicable law. It covers Goods sold by Seller against material defects in materials or workmanship and material failure to conform to the agreed description, specifications and approved proof, subject to expressly accepted quantity allowances and tolerances. Coverage begins when Goods are received and continues for 90 days. Seller also warrants its Services against material failure to meet the agreed scope or professional and workmanlike standards for 90 days after completion. Longer written warranties expressly provided with an Order remain effective.

Exclusions. This limited warranty does not cover ordinary wear or damage caused by misuse, improper storage or application, unauthorized alteration, or inaccurate Buyer-supplied content or materials. An exclusion applies only to the extent the stated cause produced the problem; it does not exclude Seller-caused defects, breach of an applicable implied warranty or failure to meet Seller’s express promises. A consumer is not required to conduct technical testing to preserve legal warranty rights.

Obtaining service. Notify Middleton Printing Inc. promptly after discovering a problem using the customer-service contact on the acknowledgment or receipt, or write to the address above. Provide the Order number or other reasonable proof of purchase and a description of the problem; include samples or photographs if reasonably available. For a problem arising within the 90-day coverage period, give notice within a reasonable time after discovery. Seller will provide instructions and a reasonable opportunity for inspection. No original packaging or warranty registration is required. Do not return Goods until Seller provides return instructions; failure to obtain authorization does not forfeit statutory rights.

What Seller will do. Within a commercially reasonable time after receiving the claim and a reasonable opportunity to inspect, Seller will, at its option, repair or replace covered Goods, reperform covered Services, or refund the price paid for the affected portion. If repair, replacement or reperformance cannot be completed within a commercially reasonable time, Seller will refund that price. Covered warranty service, including necessary authorized return and replacement shipping, is at no charge. These contractual remedies are in addition to any remedies provided by applicable law; they are not an exclusive restriction on consumer remedies.

Preserved warranties and remedies. Seller does not disclaim or shorten implied warranties in transactions covered by this section. The commercial claims deadlines, exclusive-remedy restrictions, damages exclusions and liability cap in Sections 13–15 do not apply. The 90-day limited warranty does not shorten any longer statutory warranty, claim period or time to bring suit. This warranty gives you specific legal rights, and you may also have other rights which vary from state to state. Mandatory protections under other applicable jurisdictions also remain available.
